To ask Her Majesty's Government what assessment, if any, they have made of (1) possible conflicts of interest in the appointment of auditors, and (2) inappropriate payments to senior executives, at Thames Water; and whether they will ask OFWAT to launch an investigation.

The Government has not made an assessment of conflicts of interest in the appointment of auditors or the level of pay to senior executives at Thames Water.
The Government fully supports Ofwat’s reforms to the price review process which requires water companies to ensure that executive pay is linked to customer service, share profits with customers, and make dividend payments more transparent.

To ask Her Majesty's Government whether they have any plans to investigate any possible conflicts of interests created by PriceWaterhouseCooper acting as (1) an adviser to Ofwat’s 2014 Price Review, and (2) an auditor to six water companies.

The Government currently has no plans to investigate any possible conflicts of interests in relation to role of Price Waterhouse Coopers (PwC) as adviser to the 2014 Price Review (PR14).
Following a process of open competition, after which PwC was contracted as their PR14 delivery partner, Ofwat took steps to ensure that any potential conflicts of interest were identified and managed at all stages. The measures taken were over and above PwC’s normal processes to ensure robust ethical walls are in place.

The statutory provision is regulation 6(8) of the Water Industry (Specified Infrastructure Projects) (English Undertakers) Regulations 2013 (S.I. 2013/ 1582) ("the SIP Regulations"). This confers a power on Ofwat to waive the requirement imposed on a licensed infrastructure provider (being Tideway, in respect of the Thames Tideway Tunnel project) to put certain contracts out to tender under a modified version of the Utilities Contracts Regulations 2016 as set in Part 1 of Schedule 2 of the SIP Regulations. Tideway is neither a contracting authority nor a utility within the meaning of the Public Contracts Regulations 2015 or Utilities Contracts Regulations 2016 and so is not subject to the normal procurement rules.
Following a public consultation, Ofwat issued two notices under this provision that waived Tideway’s obligation to comply with the modified version of the Utilities Contracts Regulations in certain limited and defined circumstances. The second notice issued by Ofwat provided Tideway with a narrow exemption for certain specified professional services relating to their financing and corporate arrangements, and only to the extent that those services will be paid for by its shareholders rather than customers.

OFWAT’s Chief Executive took part in a digital case study describing the challenges of its 2014 price review (PR14) and the role of Price Waterhouse Coopers (PwC) as the PR14 delivery partner, contracted through open competition, to bring new skills and knowledge to OFWAT’s workforce to help secure a successful outcome. The case study was produced after the PR14 programme had ended and reflected the conclusion from OFWAT’s ‘lessons learned’ exercise that the delivery partner arrangement had been successful.

Ofwat has been given clear statutory duties to protect the interests of consumers while ensuring that efficient water companies can carry out and finance their functions, and to exercise its powers in a way best calculated to contribute to the achievement of sustainable development.
The duties for most of Ofwat’s work, as the economic regulator, are laid down in Section 2 of the Water Industry Act 1991 (WIA91), as updated by Section 39 of the Water Act 2003. Ofwat’s main duties include:
protecting the interests of consumers, wherever appropriate by promoting effective competition;
ensuring that the functions of each undertaker (ie water company) are properly carried out and that they are able to finance their functions, in particular by securing reasonable returns on their capital; and
ensuring that companies with water supply licences (ie those selling water to large business customers, known as licensees) properly carry out their functions.
Ofwat also has secondary duties to:
promote economy and efficiency by companies in their work; and
contribute to the achievement of sustainable development.
